How much money is the fund manager investing?

The fund manager is investing $1 million of their own capital, ensuring strong alignment with investors.

What is an Accredited Investor?

An accredited investor is an individual or entity that meets specific financial criteria set by the Securities and Exchange Commission (SEC), allowing them to invest in private market opportunities, such as startups, hedge funds, venture capital, and private equity. The goal of these requirements is to ensure that investors have the financial sophistication and capacity to bear potential investment risks.

Accredited Investor Criteria (U.S.)
An individual is considered an accredited investor if they meet at least one of the following:

1.) Income Requirement: Earned $200,000+ per year (or $300,000+ with a spouse) for the past two years and expect the same this year.

2.) Net Worth Requirement: Have a net worth of $1 million+, excluding the value of their primary residence.

3.) Professional/Knowledge-Based Criteria: Hold certain financial industry credentials, such as a Series 7, Series 65, or Series 82 license. Be a knowledgeable employee of a private investment fund.

4.) Entity-Based Accreditation: A business or trust with assets of $5 million+ that was not formed solely for the purpose of investing. A business in which all equity owners are accredited investors. These criteria allow accredited investors to participate in private investment opportunities that are not registered with the SEC, as they are deemed capable of understanding and absorbing financial risk.

What are the fees?

The fund charges a 2% management fee to cover operational and administrative expenses.

How does the fund manager make money?

The fund manager earns through:
20% carried interest on profits.
Up to 3% acquisition fee on sourced deals.
Up to 3% disposition fee upon exit.

Why do search funds perform well?

Search funds excel because they:
• Invest in proven operators with existing businesses to scale by acquisition
• And high-potential first-time CEOs w/ seasoned resumes & proven track records.
• Gain a sourcing edge by acquiring businesses at attractive prices.
• Focus on high-quality companies in attractive industries.
• Buy at a discount compared to larger competitors, maximizing returns.

Why aren’t there more operational search funds?

Operational search funds require:
Specialized skill sets, including leadership, finance, and growth expertise. And the majority of private equity professionals have never run a company, nor are capable of operating businesses. Which is why the best search fund private equity firms are run by seasoned operators and entrepreneurs.
Experience in small business operations, making it challenging for new investors.
A different incentive structure, as traditional private equity prioritizes large-scale funds with easier scalability.
